Terms of Service

Effective Date: September 18, 2025

1. The Service

Outchat provides a cloud-based communication and engagement platform. Customers are responsible for User Submissions. Outchat may provide templates, APIs, and integrations.

2. Subscriptions & Payments

Subscriptions auto-renew unless cancelled.
Fees billed in advance, non-refundable except as required by law.
Cancel anytime in Settings → Billing. Renewal reminders provided as required by law.
Customers are responsible for all taxes, levies, and duties.
Payments may be processed by third-party providers; Outchat is not liable for processor errors.
If payment fails, Outchat may suspend access until overdue amounts are paid.

3. Ownership

Outchat retains ownership of the Service. Customers own their User Submissions and grant Outchat a limited license to host, process, and transmit them solely as necessary to provide and improve the Service. Outchat does not use Customer Content to train models for third parties unless you opt in.

4. Restrictions

You may not:

Copy, modify, reverse-engineer, sublicense, resell, or disrupt the Service.
Upload unlawful or infringing content.
Send spam or malicious code.
Attempt unauthorized access.
Use the Service in violation of export laws.
Conduct vulnerability testing without written authorization.

5. Third-Party Services

Integrations may connect to third-party platforms governed by their own terms. Outchat is not responsible for their operation.

6. Confidentiality

Each party agrees to protect the other’s Confidential Information with at least the same care it uses for its own, not less than reasonable care. Confidential Information does not include information that is public, independently developed, or lawfully obtained from third parties. Disclosure is permitted if required by law, with prior notice where legally possible.

7. Data & Privacy

Customer Data is processed under the Data Processing Addendum. Aggregated, de-identified Service Data may be used for analytics and product improvement. Outchat owns anonymized Service Data.

8. Intellectual Property & DMCA

Outchat complies with the DMCA. We maintain a designated Copyright Agent and a repeat-infringer policy.

9. AI Features & Beta Services

Some features use AI to generate content. AI outputs may be inaccurate and are not professional advice. They should be reviewed by humans before reliance. Beta features are experimental and may change without notice.

10. Warranty Disclaimer

The Service is provided “AS IS” without warranties. Outchat disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

Outchat’s total liability is capped at fees paid in the prior 12 months. Outchat will not be liable for indirect, incidental, special, or consequential damages (including lost profits, data loss, or business interruption).

12. Term & Termination

Either party may terminate for material breach (30-day cure). Upon termination, Customer Data will be deleted within 30 days, subject to longer retention in encrypted backups (up to 90 days). Customers may export data prior to termination.

13. Compliance

You warrant compliance with sanctions and export laws.

14. Governing Law

This Agreement is governed by the laws of Delaware, USA. Disputes will be resolved in the state or federal courts of New Castle County, Delaware.

15. Modifications

We may update these Terms with at least 30 days’ prior notice via email or in-app notification. If you disagree, you may terminate before changes take effect.

16. Entire Agreement

This Agreement, Privacy Policy, and Data Processing Addendum constitute the full agreement between you and Outchat.
